TERMS AND CONDITIONS

EdTech Hardware Supply, Delivery, Installation, and Support

1. Scope of Applicability

These Terms and Conditions govern the supply, delivery, installation, commissioning, training, and after-sales support of educational technology (EdTech) hardware including, but not limited to, interactive flat panels, digital displays, LED walls, projectors, computing devices, networking equipment, accessories, and associated services. By issuing a purchase order or accepting a quotation, the Client accepts these Terms and Conditions.

2. Quotations and Validity

All quotations are indicative and valid only for the period specified therein. Prices are subject to revision based on market fluctuations, taxes, duties, exchange rates, or availability. Issuance of a purchase order by the Client constitutes acceptance of the quotation and these Terms and Conditions.

3. Pricing, Taxes, and Payment Terms

Unless otherwise specified, prices exclude taxes, levies, statutory duties, packing, forwarding, and logistics charges. Applicable taxes shall be levied as per prevailing law. Payments shall be made strictly as per the agreed schedule. Delay or non-payment may result in suspension of delivery, installation, warranty activation, or support services. Any bank charges shall be borne by the Client.

4. Purchase Orders and Order Acceptance

Orders will be processed only against an official purchase order or written confirmation from the Client. The Supplier reserves the right to accept or reject any order in part or full without assigning any reason. Any typographical or clerical errors in a quotation or invoice may be corrected without liability.

5. Delivery Timeline and Site Readiness

Delivery timelines communicated are estimates only and subject to manufacturer dispatch schedules, transit conditions, and regulatory constraints. The Client shall ensure proper site readiness including electrical points, civil works, accessibility, adequate security, dust-free environment, and necessary statutory permissions. Risk and custody transfer to the Client upon delivery at site.

6. Installation and Commissioning

Installation and commissioning shall be undertaken only where expressly included in the quotation. Any additional works including electrical cabling, civil modifications, mounting structures, networking, or integration not expressly included shall be treated as extra and charged separately. Delays arising due to site non-readiness shall not constitute default by the Supplier.

7. Warranty Terms

Hardware warranty shall be as per the original equipment manufacturer (OEM) policy only. Warranty covers manufacturing defects and does not cover damage arising from mishandling, unauthorized repair, power fluctuation, environmental conditions, accidents, liquid ingress, or force majeure events. The Supplier may facilitate coordination but shall not be responsible for OEM warranty decisions.

8. After-Sales Support and AMC

Post-warranty support or annual maintenance contracts (AMC) are subject to separate commercial agreements. Response time and service levels may vary based on geography, OEM policy, spare availability, and logistics constraints.

9. Ownership and Risk

Ownership of the hardware may remain with the Supplier until full and final payment is received. Risk, custody, and insurance responsibility transfer to the Client upon delivery at site. The Client shall take reasonable care of hardware until commissioning.

10. Changes in Scope

Any change in quantity, specification, brand, model, or installation condition after order confirmation shall require written approval and may result in revised pricing and timeline extension.

11. Refund and Cancellation Policy

Orders once confirmed cannot be cancelled. Since hardware procurement is typically made-to-order or allocated specifically to the Client, refunds are not permitted after order confirmation. In exceptional cases of written mutually agreed cancellation, actual costs incurred including logistics, handling, restocking charges, and administrative expenses shall be borne by the Client. No refunds shall be processed for delivered, installed, or commissioned hardware.

12. Returns and Replacement

Return or replacement of hardware is strictly subject to OEM policy. Dead-on-arrival or defective units shall be evaluated by OEM authorised service centres. The Supplier shall not be liable for delays in replacement attributable to OEM processes.

13. Limitation of Liability

The Supplier shall not be liable for indirect, consequential, or incidental losses including loss of business, revenue, or data. Liability, if any, shall be limited to the invoice value of the specific hardware or service in dispute. The Supplier shall not be liable for delays arising from transportation, natural calamities, strikes, regulatory actions, or force majeure events.

14. Intellectual Property and Software Licensing

Any software provided with hardware is subject to OEM end-user licence agreement. The Client shall ensure lawful usage and shall be solely responsible for compliance. No rights to source code, proprietary protocols, or IP are transferred.

15. Confidentiality

Both parties shall maintain strict confidentiality of commercial information, technical documentation, proposals, pricing, and institutional data and shall not disclose the same to third parties except where required by law.

16. Legal Disclaimer

All information, specifications, and images provided in proposals, brochures, or website content are for general guidance only and may change without prior notice. Performance is dependent on environment, usage, installation quality, and user training. Nothing contained shall be construed as professional, financial, or legal advice. The Supplier makes no representation or warranty, express or implied, other than those explicitly provided by the OEM.

17. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by the laws in force in India. Any disputes shall be subject to the exclusive jurisdiction of competent courts at the location where the Supplier's principal office is situated.

18. Acceptance of Terms

By accessing proposals, issuing a purchase order, or accepting delivery of hardware or services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
